Viewing the trends of Merger and Acquisition,it's beneficial for a company to gain profit by increasing its economic scale,complement with another company's advantage to improve its competitiveness and grab market share through M&A.However,the different structure,culture of two companies and law accounting requirements always make M&A not only a complicate process but also restructuring after M&A is essential.This paper takes M company as an example to explore the issues after M merged with T Company.Being a trans-border M&A,from the strategic perspective,it's an easier way to expand into oversea market and obtain knowhow of the foreign manufacture.However,struggled with financial deficit,M company is facing its own structure problem,deficient internal process control and quality issues.How to improve its management after M&A and complement with T Company's advantage become a vital question to answer.In the first phase,this paper elaborates the connotation,development history,outstanding characteristics of M&A.Based on the background information;it then analyzes the impact of M&A to the company.The basic theory such as key concepts and analysis tool,competitive strategies and related M&A analysis from Chinese and foreign countries researches are also reviewed.In the next phase,this paper introduces the industrial environment of the pump product,corporation profile of each company before M&A,by applying the basic competitive strategy theory analysis;it investigates the M company's structure issue.Furthermore,by adopting the multiproject management method and information-based integration,this thesis studies the corresponding countermeasures to deal with the present structure issue.Finally,the thesis gives the general summary of the strategies and countermeasures for the restructuring of M company after M&A.This paper takes the perspective of competitive strategy,information integration theory as entry points respectively,and employs strategic management theories to analyze the case with qualitative and interview approaches.After the determination of adopting corresponding strategy for M company,this paper concludes and suggests that the restructuring of M company should be conducted from the following aspects: construction of competitive mechanism between internal sectors,quality control,and sufficient communication among different sectors to avoid loose internal control,all of which will ensure the effective implementation of enterprise's restructuring.
