This dissertation first answers two basic questions - what is the definition an entrepreneur and is an enterprise-operator equal to an entrepreneur? After gaining a clear thread of the research on the theories of entrepreneurs,this paper attempts to extend a descriptive definition of an entrepreneur from the point of view of enterprise-operator-type human capital,and that of the degrader of the enterprise-operator,i.e. "the warder". Lastly,this paper seeks to reveal the relationship between the enterprise-operator,the entrepreneur and the warder,and the mechanisms of their generation.This paper,from both the economic and managerial angles,examines the mechanisms of screening,incentive and restraint of enterprise-operators which are used as the micro-mechanisms of entrepreneurs'growth from enterprise-operators,and aims to construct a theoretical framework for the analysis of the micro-mechanisms of the generation of entrepreneurs. In this paper,enterprise-operators are viewed as top managers who are entrusted by their enterprise-owners to take the responsibility for the operation of the enterprises;entrepreneurs are successors of those enterprise-operators who can effectively combine long-run development of their enterprises and the maximum of their individual benefits,by applying their enterprise-operator-type human capital to analyses,judgments and comprehensive decisions in terms of their production and transaction activities,and undertaking the corresponding risks;warders refer to the degraders of enterprise-operators who perform unsuccessfully or under the average because of their lack of human capital or efforts.Becoming entrepreneurs is the aim that enterprise-operators expect to reach (but not necessarily the aim they initiatively pursue.). Enterprise-operators themselves do not wish to degenerate into warders. Whether enterprise-operators will develop into entrepreneurs mainly depends on the attribute and level of their human capital and the extend of their efforts. Under given institutions,the attribute and level of incumbent enterprise-operators depend,to some degree,on the functional efficiency of screening mechanism,and the extent of their efforts is subject to the functional efficiency of incentive and restraint mechanisms. The efficient screening,incentive and restraint mechanisms concur to urge enterprise-operators to endeavour to become entrepreneurs,resulting in the improvement of enterprises' business efficiency. On the contrary,the breakdownof any one of the three mechanisms will lead enterprise-operators to degrade into warders.The research logic of this paper is to discuss,step by step,the micro-mechanisms of the generation of entrepreneurs - screening,incentive and restraint mechanisms. Inthe first place,based on the clarification of the enterprise-operators'human nature hypothesis,requirements structure and career characteristics,we enter into a general theoretical expounding on entrepreneurs and the mechanism of their generation. We start with an overall discussion about the connotation,functions and generation mechanism of entrepreneurs.Then we take a further step to study the entrepreneurs'required quality - enterprise-operator-type human capital,and its formation,supply and demand.And finally we enquire into the relations between enterprise-operators,entrepreneurs and warders,and the micro-mechanism of the generation of the three. In the second place,we conduct a theoretical enquiry about the effective ways of constructing screening,incentive and restraint mechanisms,and make a comparative analysis on the three mechanisms implemented in Japan,the United States and China. In the third place,in accordance with the status quo of China's state-owned enterprises and the direction of their reform and on the premise of reconstructing enterprise mechanisms,we put forward the conception of constructing the mechanisms of screening,incentive and restraint of the operators in our state-owned enterprises.In the introductory section,in terms of institutional transformation of enter...
