| In 1991, in order to guide USA resume a leading role in manufacturing, the term "agile manufacturing" was introduced by a group of scholars at Lehigh University in USA, and as the basic organization mode of agile manufacturing, the conception of "virtual enterprise" was popularized. The start of agile manufacturing is the profound changes of business environment. With the accelerating of technology progress and the forming of global market, the changing speed of business environment highly exceeds enterprise's adjustability, and the ability to meet the rapidly changing needs of the marketplace has been a key factor for enterprise competitiveness. So the ability for enterprises responding to change is defined as "agility". Agile manufacturing focus on improving enterprise's agility, urges them using more flexibility technology as well as organization to ensure them realize any necessary adjustment with higher speed and lower cost, and to respond to the market opportunity rapidly, thereby to get competitive advantage. Then, more flexibility technology can be known very well, and more flexibility organization has been abstracted as the conception of "virtual enterprise".Virtual enterprise means that in order to catch a fleeting market opportunity, enterprises should get rid of the restriction of their own resources, and integrates all kinds of proper resources to form a dynamic union. These resources may come from different business units of a big enterprise, or come from some different enterprises. The members in a virtual enterprise obey the cooperation principle of "win-win", and gathering and scattering with market opportunity.By urging the optimization combination of existing sources, virtual enterprise has high application value to our country. But as a new organization mode, virtual enterprise should be explored more deeply. At first, as virtual enterprise is a new organization cooperation mode, there are some confusions while its conception is compared with the tradition conceptions of enterprises cooperation modes, such as "Supply Chain", "Outsourcing" and "Strategy Alliances", etc. So, in this paper, the difference among these conceptions is deeply clarified, and basing on this, the specialty of virtual enterprise is shown up. The second, there is a host in virtual enterprise who finds the market opportunityfirstly and initiates the virtual union. As the host is the leader of virtual enterprise, its behavior mode affects the virtual enterprise's performances heavily, but by now, there is still little researches on it. So, in this paper, a conceptual model is set up to analyze virtual enterprise's affection on the host's own income; Applying this model, the relationship of cooperation and competition between the virtual enterprise's host and its leaguers is anatomized; and then, the advices of cooperation strategy in virtual enterprise are given to the host. The third, although the host is virtual enterprise's leader, other leaguers have full freedom to make decisions by themselves whether staying in the union or not according to their own benefits. So, Setting up a sound profit distributing mechanism is one of the key factors to ensure the success of virtual enterprise. In this paper, the model of profit distributing in virtual enterprise is built; using this model, the problem of profit distributing in virtual enterprise is deeply studied; and then, the basic design principal of profit distributing mechanism in virtual enterprise is presented.At last, as virtual enterprise is a kind of dynamic union among enterprises with loose organization, and there is high uncertainty in the process of product innovation, the harmony mechanism has to be settled in virtual enterprise's quality management.
