With the deepening of reformation of the state-owned enterprise, the exploration from theory and practice indicating, reformation of the state-owned enterprise or innovation of state-owned enterprise projects increasing the important role and realistic significance on the reformation and implement of the mission and aims of state-owned enterprise. Research and development of the proposition of management restructuring of state-owned enterprise are considerably of realistic value and theoretic significance. This research analyzes the history and background of Chinese reformation of the state-owned enterprise, pointing out with the trend of economy globalization, profound influence of fast development of globe science and technology to business organization, immaterial elements such as knowledge becoming pivotal strategic resource, austere position and challenge in the period of Chinese transitional economy, the reformation of the state-owned enterprise deepens. Based on the integration of theory and practice, the path of reformation of the state-owned enterprise is analyzed meanwhile valuable experiences of foreign reformation of the state-owned enterprise are referred to. The conundrum of reformation of the state-owned enterprise is believed the establishment of mechanism of innovation and selection. Through the proposition of reformation of the state-owned enterprise had been brought forward in 90s of 20th century, it has very important realistic and theoretic sense in modern time and is worth of researching deeply. One focus of the core of this research is on exploring the essence of management restructuring of the state-owned enterprise and correlative problems, which are the main innovation of this research and a series of new ideas. Linked with the fact of reformation of the state-owned enterprise tightly, gradual reformation and evolution of the state-owned enterprise and evolution and routine of the state-owned enterprise are analyzed, then quality, features, role and efficacy of organizational routine are anatomized based on the restructuring of theory and practice. Organization routine is pointed as a carrier of knowledge, decided by 9dominant and recessive knowledge, specially the later. In addition, these factors include pattern of wisdom, idea of value and approach of operating, institution and rules of management, operation flow and manner of course, culture of organization, etc.. Author considers the core and puzzle of management restructuring of the state-owned enterprise lie in the organization routine as gene. Based on above research, essence of management restructuring is delved, a series of new cognition and theoretic points and theoretic model and whole framework of organization routine are set up. Author think the essence of management restructuring of the state-owned enterprise is to break and re-establish organization routine and management restructuring is endogenetic establishment of innovation mechanism of business organization, especially emphasizing top managers of business organization are important main body of management innovation and entrepreneurs and professional managers play crucial and key role in the process of management innovation, holding the balance in driving management innovation, mutual action between innovation and outer electing mechanism is breaking and reconstructing or changing the level answer of organization routine. Organization learning is need of cultural innovation and the basis of restructuring of business management. Objective of management restructuring of the state-owned enterprise is to build its core competence, gain the competitive advantage in market competition, obtain operating performance, develop unceasingly and exert its function and action.
