The separation of the ownership and the control is the fundamental feature of China's state-owned enterprises, Commission of multi-level and low effectiveness sharpens the phenomenon which is the exteriorization of the board of directors and the control by the interior members. The operators, as "economic men", pursuing maximum effectiveness of themselves, have some unknown and unverifiable information, their behavior and decision are not active input, this brings about the immoral behavior and converse choice. Thereby there exists the conflict between the operators' and the owner's goal. It is becoming to be the kernel to formulate a reasonable operator's income system as to motivate or "entice" the operators into behaving coherently with the owners' goal and reducing the commission cost. The western researchers have studied the operators' income system for more than 70 years and got rather mature practice through application. On account of the different situations of countries, there is a adaptability problem for our country, Yet thanks to the condition of a country difference. There is much more misuse in the reference use. The active operaters' income system in our country-annual salary, has much more malpractice and limitation and the motivation effect is mostly little and even none at all with the point of view of theoretic analysis or of demonstration results. This paper attempts to rebuild the operators' income motivation model to improve the effectiveness of the motivation and to enhance the function of the system's motivation and restriction.In order ot constitute a system of motivation and restriction, the 4 following problems should be resolved.Viz: 1. How to define the income magnitude or what kind of system should be adopted; 2. What kind of incom makeup should be chooseed; 3. What kind of assessing index should be applicated to appraise the operators' performance and to weigh their capability and efforts; 4. How to improve the state-owned enterprises administration structure to make the motivation and restriction symmetrical and their effectiveness. This paper mainly studies the 4 above-mentioned special subjects and points out a comprehensive model of income motivation system.There are many factors that affect the income magnitude, which mainly are the enterprise scale, the operaters' manpower capital, the operaters' performance and the enterprise administration structure. In order to set the operaters' income, how the role which the operaters play and the particularity of the operaters' work affect the operaters' income should be thoroughly realized. This paper concludes a general model of the operaters' income and gives the operaters' income decision system, through the orientation of the operaters' role with the application of the enterprise theory and the generalization of the effect of the particularity of the operaters' work on the income and the analysis of the main factors as the enterprise scale and the manpower capital of the operaters, the operaters performance and the enterpris administration structure.As for the choice of the operaters' income structure, this paper points out the maximum choice by comparative analysis of 3 kinds of income structures as the basic salary plus bonus, basic salary plus bonus plus stocks expectation rights , and basic salary plus bonus plus stockholding. This paper points out the lack of the long-time motivation component of the traditional operaters'income motivation model of the basic salary plus bounus model with the demonstration, and analysescomparatively the 2 main long-time motivation means. By the comparison of the effects of the long-time motivation and with the thought of the immaturity of the captital market and stock market, the stock expectation right motivation has not the long-time motivation effect and otherwise that will induce the operaters to take short term action under the situation of our country, that means that the market economy is undeveloped and the stock market is not mature and the team of enterpisers and its choice...
