I hold in this dissertation that corporate social responsibility (CSR) to employees is based on the status relationship, which is beyond the contract relationship regulated by labor law, and the status relationship should be regulated with corporate governance. Mechanisms of corporate governance don't only include the model of employees'participation in corporate governance, but also multi-mechanisms from external governance to internal governance.Chapter One is about the effect of law in realizing CSR to employees. I analyzed the debate on the issue of whether CSR is legal responsibility or moral responsibility, and argued that CSR to employees means legal responsibility and moral responsibility as well. I stressed that even the realization of moral responsibility requires the regulation of law. By regulating the mechanisms of corporate governance, legislation puts effect on CSR to employees indirectly.Chapter Two and Chapter Three deal with external governance. Chapter Two focus on the effect of market mechanisms, including mechanisms of product market, labor market and capital market. I put forward specific recommendations on legal regulation of market mechanisms.Chapter Three is about information disclosure and information intermediaries. I stressed that legal requirements of information disclosure is necessary for markets'validity. Intermediaries'service for auditing and attesting CSR information serves as gatekeepers for monitoring corporations, so the regulations of intermediaries is another source of promoting CSR.Chapter Four moved to internal governance. The widely accepted model of employees'participation in boards is refused in this chapter, instead, the model of board committee on CSR is suggested and expected to function.Chapter Five justified directors'fiduciary duties to employees in the context of corporate takeovers, and recommended adjustment of legislation to extend the beneficiaries of directors'fiduciary duties from shareholders to employees.
