With the increasing importance of university in the regional innovation system, research on university technology transfer is gradually increasing. In China, research on the university technology transfer are mostly based on the original scope of technology transfer, however, research from the perspective of knowledge management are still rare. Therefore, under the new situation, to introduce in knowledge management and carry on university technology transfer research become necessary.In the article, it deams that transfer in university technology transfer is only the means, from the perspective of knowledge, and, the ultimate essence is to promote ability to innovate of both the university and the enterprise through their own knowledge growth. In this point, the article successively analyzes the factors in university technology transfer, and concludes that it is mainly affected by environmental factors, the mail factors, objecti factors, and the contextual factors. As to the dynamic analysis of university technology transfer, the article combines the game theory to estiblish a transfer game model, and points out the items affecting the technology transfer path choice, including absorptive capacity of the enterprise, university knowledge volume and proportion (referring to explicit knowledge and implicit knowledge proportion), new knowledge cration ability of combined production and research, and transparency of the knowledge university contributed.Based on the interface theory, the article also analyzes the channel and interface in university technology transfer, and points out that in the process of technolgoy transfer, other than university system and enterprises system, there is also one university-enterprise spherical interface system. This system plays a role of valve and its operations determine the technology transfer efficiency. Moreover, on the basis of the analysis, it forms a university technology transfer procedure model. The model is made up by three seperative models, as knowledge transfer model, knowledge diffusion model, and knowledge fermentation model model, carrying on study on the dimensions of transfer, non-directional transfer and knowledge increase. The three models are seperated but related also. They themselves together describe the micro process of university technology transfer. Finanly, the article tries to apply the theories above to analyze the case of NdFeX transfer in BDSJ.
