As an important measure to ensure national food security, economic security, ecological security in China, land consolidation has risen to a national strategies. In China, under the macro background of the urbanization and industrialization, increasing pressure on farmland protection and adjustment of the pattern of social interests, land consolidation will get a more important strategic position. However, what is incompatible with it is that the current land consolidation project management system in practice exposed a lot of problems, and projects in the corporate entity choice, contractual relationship, the principal - agent relationship between the defects on the institutional arrangements of particular concern. The existing system of land consolidation project management is reviewed by the institutional level. And the research achievements are of great theoretical value and practical significance to the land consolidation project management institutional innovation in China which introducing the co-governance mode based on stakeholder into the field of land consolidation.In this paper, "benefit" as the entry point as well as the interests analysis as the main line. The standard analysis and empirical analysis methods were employed. We make a clear definition and classification on the land consolidation project stakeholders, and make a research on their orientation of interests value, the requirements and coordination of interests, and then propose land consolidation project stakeholder shared governance model of the theoretical model. The paper's main research content and conclusions are listed as follows:1. Drawing on relevant theories and research results at home and abroad, concept of stakeholders in consolidation project has been defined clearly, and land consolidation project stakeholders in the theoretical system of governance have been built.2. On the basis of systemic analysising, summarying the progress of land consolidation project management and practice experience, it is suggested that China should learn the experience of advanced countries and regions valuing institutional environment and stakeholder participation in the practice of land consolidation projects.3. The internal and external environment of land consolidation project in China has been analysised comprehensively. The significant deficiencies of existing project management system were found. So it is difficult to prevent opportunistic behavior and moral hazard arising. In addition, the external legal environment is not perfect, and the market supervision is not effective.4. Land consolidation project has many stakeholders. Stakeholders were assessed with score-based approach by Mitchell from legitimacy, influence and initiative evaluation. And divided into core stakeholders, middling stakeholders, external stakeholders, in which the core stakeholders has a close relationship with project, determing success of the project.5. The stakeholders of land consolidation project are all "economic man" of finite rational, who have the motive of maximizing their own interests. Due to differences in interests and demands, it is easy to contradictions and conflicts of interests. The coordination mechanisms of the interest should be established to reconcile the conflicts of interests.6. The co-governance mode based on stakeholders is the inevitable choice to resolve the interest balance between the the stakeholders. Co-governance mode consists of project governance structure and governance mechanism. The core of project governance structure is the proprietor commission of land consolidation project which consists of core stakeholders. The project governance mechanisms include decision-making, motivation, supervision and market mechanisms, as well as environmental governance mechanisms. Through the institutional arrangements, ensure the each stakeholder has an equal opportunity to participate in the project governance, allocate the power, responsibilities and interests between stakeholders legitimately, and set up a power structure and operating mechanisms in which decision-making, implementation and oversight powers mutually restrain and coordinate. Finally, the project achieve the goal of maximizing the common interests of the whole stakeholders.
