Since 1990's, as economy globalization has been accelerating and demand differentiation strengthening, competition between enterprises became more and more intensive and markets more and more unstable, placing enterprises in increasingly complicated and changeable operation environment. As any enterprise alone is unable to cope with such intensive competition, he must rely on the strength of the supply chain by integrating resources of all member enterprises in the supply chain, so as to form competitiveness as a whole. It is obvious therefore that the traditional enterprise-centered management pattern has been outdated so that it should be replaced with modern supply chain management pattern.The core of supply chain management is cooperation. The member enterprises in the supply chain should establish strategic partnership, that is, the trust-and-common-goals based informal long-turn agreements between the independent upstream and downstream enterprises along the supply chain, with resources, risks and incomes being shared among partners. However, because the individual member enterprises of the partnership are independent interest entities, the relationship between them is the principal-agent one in nature in which individual rationality may cause opportunistic behavior, which is one of the key factors to lead to failure of cooperation. Therefore, it is meaningful theoretically as well as practically to study the governance of strategic partnership in supply chain.This dissertation, from the viewpoint of governing opportunistic risks, systematically studied control right arrangement, high-quality and reasonable number partners selection, and resolution to overcoming underinvestment of relational specific assets etc., and drew out the research conclusions through quantitative and positive analysis. The main contents were and results are as followings:1.It firstly briefly illuminated the background and significance of the studies. Then it made some reviews to previous researches on strategic partnership in supply chain and pointed out their shortcomings. Finally, it put forward the main ideas of the studies.2. It studied the optimized allocation of the rights to control strategic partnership in supply chain.
