Mergers & acquisitions (M&A) is a exterior growth path to extend enterprise fast. The world has already experienced five times wave tide of M&A. In recent years, mergers & acquisitions have developed like rising winds and surging clouds along with the adjustment upgrade of industrial structure and the demand of enterprise internationalization in our country. But regardless foreign or domestic situation, the whole performance of mergers & acquisitions is not satisfied. One of the reasons is the neglect of the post-merger integration, especially the culture integration.The thesis's subject lies in exploring the factors structure which affects M&A culture integration from the viewpoint of empirical research firstly, then explaining the relationship between these factors and the M&A culture integration from the theories angle. Finally, this thesis also puts forward the tactical suggestions of culture integration to solve the problems existing in our country's enterprise M&A. The author of this paper expects that it can guide the practice of culture integration to enhance the effectiveness even the M&A performance.This thesis mainly consists of seven chapters. Chaper 1 introduces the background and significances in subject selection, while reviewing the extant literature, defining the object and scope of study, setting the train of thought and approaches, stating the main content and contributions of the study. Chaper 2 provides the basis of theories related to this research. One is the theory of mergers & acquisitions, including the concept, the layer structure, the types and the motivations, the other is the theory of enterprise culture, including the concept, the types, the methods of measurement and the relationship between enterprise culture and performance. This chapter provides the background knowledge for the following chapters.Chaper3 discusses enterprise culture conflict and culture integration in mergers & acquisitions, in which the author identifies the concept of culture conflict and explains the symptoms ,the evolution and management about culture conflict firstly, while identifying the concept of culture integration and elaborating the contents, the process and the principles on culture integration. Finally, the author demonstrates the relationship between culture integration and M&A, and constructs a concept model which relates to culture integration and other integrations in M&A as well as. Chaper 4 carries on an empirical research to explore the factors structure affecting culture integration in M&A. The author draws assistance from a questionnaire survey and finds out that culture integration is influenced by five factors. They are leader's behavior, employee's behavior, culture characteristics, outward facilitation and model choice.
