Eco---Industrial Parks (EIPs) is an important research field of Industrial Ecology(IE), it is a kind of Industrial Symbiosis System (ISS). EIPs is just to imitate the natural ecological system, and made industry system a part of resource recycling and Energy flow of natural ecological system. It is also a good way to solve these problems in industry pollutions and resource lack. Under this model, "by-product" or "rejectamenta" of one produces process may be the raw material of another process. So that the resources (energy, water and raw material) of the entire industrial system comes to be a closed-loop circle. By this way, we can well protect the environment while enhancing the economic welfare. In fact, the "by-product exchange" is an important application.The paper firstly reviews and analyzed the related theory (Circular Economy, Cleaner production, Industrial Ecology and EIPs) , and makes comparison of these theory. Then, by using biology, Industry Economics, Transaction Cost Economics, Industrial Cluster Theory and so on, the paper analyzed the motivation mechanism of the partner taken part in EIPs, and the formation mechanism of ISS. Next, the paper constructs the structural model of ecological industrial chain by the way of Reverse logistics and supply-chain contract, and analyses the resources flow from the viewpoint of value chain. Based on the theory of by-product exchange, the paper tries to define and discuss the concept of Industrial Symbiosis Efficiency (ISE) . After theory research, the page makes the study on circular economy and EIPs in Jiangxi Province in detail by using of the case study. Besides, the paper analyses some suggestions on how to build and develop fISS or EIPs. Finally, on the basis of review about the whole contents, the paper points out the further research direction in this field.The paper conducts the research by combining normative research with demonstration research, quality research with quantity research. In the theory research, the paper comprehensively implements Biology, IE, Transaction Cost Economics, Industrial Cluster Theory, Input-output analysis, Environment cost-benefit analysis Theory and so on. In the application research, the author carried out field survey in detail by using of the case study about Jiangxi province.
