With the establishment and unceasing perfection of socialist market economy system, Chinese state-owned enterprise system also tends to mature unceasingly, modern enterprise system is set up, and the relevant system designing is in the process of becoming scientific, rational, and high efficient. In the new historical period, it is necessary for us to card relevantly the state-owned enterprise system, summarize and analyze the system itself and the change course, which will help people seize this relatively complicated system, know exactly its internal structure and operation mechanism to offer reference for the future development, and improve our overall economic quality.The above state-owned enterprise system exist systematically; and it may be called state-owned enterprise institutional system. Through the carding of existing theory, we can see that this system can be analyzed from the vertical aspect and the transverse aspect. The vertical aspect consists of State property management system, Corporate Governance Structure of state-owned enterprise, and internal administrative control of state-owned enterprise; the transverse aspect consists of different restrains formed by product market, manager market and capital market. There are specific and regular interacts among the above elements, thus state-owned enterprise institutional system with some specific functions is formed.Since stat-owned enterprise system is a kind of system, it must have relevantly systematic functions. And the first chapter of this text has analyzed it. Enterprise is an important fundamental economic unit, and it undertakes the function of creating and accumulating social wealth, resource allocation, resource utilization, and driving the development of social productive force. However, the function of Chinese state-owned enterprise has its particularity; it not only undertakes the above fundamental functions, but also undertakes some specific economic functions and social functions. This specification roots in the relevant requirements that suggested by specific historical background. It is state-owned enterprise institutional system that offers necessary systematic support for achieving these fundamental and specific functions. The function of state-owned enterprise institutional system mainly includes the below four aspects: offering institutional frame for achieving state-owed enterprise function; allotting property right for state-owed enterprise; deciding the way of resources collecting towards state-owed enterprise; encouraging and confining all kinds of behavior subject, etc. Clearly, in order to realize these four functions under the condition of modern enterprise system, you must start from the elements of the vertical and transverse part.Chapter 2 and chapter 3 of the text analyze separately the vertical and transverse part of Chinese state-owned enterprise system. The vertical part mainly consists of three elements and the incidence relation among them. Moreover, the three elements are State property management system, Corporate Governance Structure of state-owned enterprise, and the internal administrative control of state-owned enterprise. Administrative system and governance structure break up the property right in the internal and external enterprise, and affect the governance structure through the superintendence and management towards person, thing, and capital. They can replace each other under the specific historical and real condition. The governance structure conjuncts with the internal management of state-owed enterprise through the alteration of enterprise strategy and senior managerial personnel, and the former affects the institutional pattern and operation mechanism of the latter. Just because of this incidence relation, the vertical elements join organically into one unit and form vertical system. The transverse parts of Chinese state-owned enterprise institutional system mainly consist of product market, manager market, capital market and their restrain effects towards vertical system. All elements'function, operation mechanism, and the main direction of function playing effects are the main contents of transverse system. Through this analyze, we see that the transverse system can help the function of the vertical system act normally, and encourage and restrain the action of relevant subject, which is the indispensable part of state-owned enterprise institutional system.From the analysis of the above vertical system and the transverse system, you can know the main structure of state-owned enterprise institutional system. This system is provided with integration, relativity, orderliness, and dynamic property, which is the same as other systems. State-owned enterprise institutional system is an orderly system, and this order is gained by changing. Changing let it develop from inferior order to advanced order, with a view to enhance the efficiency of this system.Although state-owed enterprise system exists systematical, its changing shall not be an isolated transition of only a certain element. There are interaction and common development among all kinds of the above elements during the Changing process. This changing process can be divided approximately into four time quantum, that is the stage of delegating power and transferring of profits, transforming the enterprise management mechanism, setting up modern enterprise system, and newly searching for state-owed enterprise institutional system. During different historical periods, the three elements of the vertical parts appeared contradiction and conflict unceasingly, but then carded and conformed unceasingly; however, the transverse system forms the changing external environment of different periods, which advance or restrain the vertical system.Till now, some significant issues during the transition of Chinese state-owed institutional system have been solved, however, looking back history and commenting now, we can see the reasonable practice which is worthy of further insistent, and we also can see the unreasonable practice which need the further improvement. Therefore, we analyze the further transition of state-owed institutional system in chapter 5 of this text. As to guiding ideology and principle, Firstly, we must understand correctly the role of government during the transition period, and that the government is still an important effect factor in the process of future reform, but we should pay attention to the application and the transition of action mode of inducted method. Secondly, pay adequate attention to the competition and cooperation relation among the transverse elements during the transition process, because cooperation can let the system gain stable and developmental time, while competition can help the system stride from one state to another state. Thirdly, integrate the three vertical elements with strategy, to form a whole pattern that Macro drives micro, and upper layer drives the lower layer. Particularly, we find that during the concerning of Chinese state-owed enterprise system transition, in order to optimize this system, our country arouse adequately materials in all directions. And we have served for the enterprise reform under the executive order and policy guidance of country from element market to product market. In the new historical period, the ability of the state-owed enterprise develops largely; the state-owed enterprise should also contribute to the development of whole economy quality. So, fourthly, in the further reform of state-owed enterprise, the principle and guiding ideology should promote the development of product market, management market, and capital market.After knowing clearly the above guiding principle and ideology, I think that we should further improve the vertical and the transverse system of state-owed enterprise system. And the improvement of the vertical system elements is in favor of the cooperation among each other, Systematicness to form good institutional foundation which is in relation to the operation of the enterprise. While the transverse system is an important external constraint and governance power, and is the necessary market element for the setting up of modern enterprise system.
