The public enterprises belong to the most basic industry of the social economy, it plays a supportive role to other national economic industries. Because public enterprises in a relationship to very extensive social public interest, and the problem of public enterprises governance has been a focus of the academic circle of countries for long. At present, the problem of our country’s public enterprises are mainly manifested in the insufficient investment, unreasonable property rights system and governance structure lack the legal structure and effective supervision and restriction mechanism. And in fact, these problems in the public enterprises governance finally lie in the government, that is in relevent with the responsibility and behavior of the government. Therefore. this dissertation use the government behavior as a clue, begin with the existing problem of government behaviors in public enterprises governance in China, scientific define the target and field of government behaviors in the public enterprises governance, enhance the administrative ability of China’s government and the performance level of public enterprises.The first chapter of this dissertation is the introduction of full text, puts forward the main research significance, the research background, the train of thought and method, and the innovation points. The second chapter is the study of the theoretical basis and literature review, combs the existing theory and the research content, explores the deficiencies and puts forward the research point of this dissertation. The third chapter to the fifth chapter studied the government decision-making behavior and regulation behavior in financing, property rights system and management structure of public enterprises, and choose some cases to improved and summarized, and learn advanced experience from foreign. The sixth chapter summary and sublimation based on the analysis of three, four, five chapters. Compared the similarities and differences of government decision-making behavior and regulating behavior in financing, property rights system and management structure of public enterprises, summed up the failure of these behavior and puts forward corresponding measures to improve. Chapter seven is the main conclusions and outlook of research.Specifically, through the above research, this dissertation got the following conclusions.First, the emphasis of government decision-making behavior in every stage of public enterprises governance is different.In the stage of public enterprises PPP financing, the main consideration of government is how to determine the scope of the project and object PPP and how to select the SPC and signed an agreement through negotiations. And in the phase of public enterprises property right system, the government decision-making behaviors is focus on the decision of the property right reform process and deal the relations with government, enterprises and public. Finally in the public enterprises governance structure stage, the government’s main decision-making behavior is select the representative of the state-owned property right into the board and strengthen the management of director to reflect the interest requirements of the state-owned investor.Second, the emphasis of government regulation behavior in every stage of public enterprises governance is also different.The point of access regulation in PPP financing stage is the qualification examination of market main body’s economic strength, management ability and social responsibility of credit. The price regulation is focus on establish a kind of price mechanism approximate to the market competition; stimulate enterprises to improve technology and management innovation to improve production efficiency and service. The emphasis of government regulation in property right system is translate monopoly into competitive, forming a competitive market. The focus of price regulation is to determine reasonable return on investment which not only will not affect the investor confidence, also won’t make consumers pay too big price. At last, the regulation behavior of government in public enterprises governance structure, or more precisely should call a supervision and restraint behavior, mainly is supervision and restraint to the managers who as the agent of public enterprises.Third, whether in government decision-making behavior or regulation behavior, must make clear above all the public interest goal orientation, to ensure that the government decision-making behavior and regulating behavior have limitation and effectiveness.The public enterprise is the field in which government and market can both play a role, in the public enterprise governance practice, the involvement of the market playing a positive role in breaking the monopoly supply of public products and services and improving efficiency. But, as the narrowing scope and changing way of government provide, public interests have been violated. From deep look, this is obviously the government decision-making fuzzy public interests goal orientation, therefore, the public interest of the goal oriented must be clear, so that they can handle the relationship between market supply of public products and serviceand the government behaviors. Not only guarantees the full development of the market, which can improve the efficiency of public enterprises, also emphasize more on reasonable play of government behavior, in order to ensure the fairness and justice of public enterprises serve the public. And for the government’s regulation behavior, make clear the public interest goals is the premise condition of the whole optimization of the regulation system, it can ensure the final purpose of the regulation system is always maintain the fundamental interests of the consumers, prevent market failure and reduce the negative externalities.Fourth, whether in government decision-making behavior or regulation behavior, the government must deal properly with the relation of public enterprise and the public, so that we can guarantee the rationality of government decision-making behavior and regulating behavior.The government’s decision-making behavior must change from the governmental-center to citizen participation. Not only for civil society requirement citizens participating in public decision-making, but also the participation of citizens can better supervise the government decision-making behavior. one of the most important ways for citizen-participating in government decision is the public hearing systems, it can widely accepted opinion from consumers, and let the public more widely participate in social and public affairs, provides effective approach for scientific management and decision. In the public enterprise governance process, using hearing system can promote the development of public enterprises to a certain extent, making the governance process under surveillance of various stakeholders, especially the consumer, avoiding the decision-making power monopoly, realizing decision power sharing, safeguarding the rights and interests of consumers. And the price hearing system is actually a way to deal with relations between enterprise and public, and to expand public participation in the process of price regulation.
