Research On The Evolution Of The Property Right System Of Northwest Industrial Corporation (1933-1949)

During the period of Nanjing National Government,enterprises belonging to the category of national capital but funded and operated by local governments were generally referred to as local state-owned enterprises or provincial or public enterprises.The Northwest Industrial Company founded and operated by Yan Xishan set a direct example to the later provincial enterprises.Although there are studies on the Northwest Industrial Company in the academic circle,most of them define it as an institution"serving for Yan Xishan's feudal separatist rule",lacking in-depth studies on its property right,governance structure,management and other enterprise systems.On the basis of in-depth analysis of relevant archives and historical documents,and in accordance with the relationship between time and logic,this paper explores the origin of Yan Xishan' s thought of industrial construction,the formation of local state-owned policies in Shanxi Province and the founding practice of Northwest Industrial Company,and studies the evolution process of property right system in Northwest Industrial Company from its establishment to its termination in the hope of studying the modern enterprise system in China.The study of degree evolution provides certain theoretical value.The study found that under the influence of Sun Yat-sen's national capital thought,Yan Xishan formed his local state-run policy by skillfully utilizing the state-owned economic policy of Nanjing National Government,and the Northwest Industrial Company established in 1933 is the concrete practice of this policy.In the early stage of the company,the incomplete legal person property right system was established by imitating the western participatory system.Later,with the establishment of the board of directors of public enterprises in Shanxi Province in 1936,Northwest Industrial Company formally established the property rights system of local state—owned enterprises.After the outbreak of the Anti-Japanese War,the Northwest Industrial Company is divided into two parts:one is some factories that have moved to the rear areas,on this basis,the provincial government found the c"Xinji Northwest Industrial Company"with the nature of the government's state-owned units,and plannedly produced,sold and distributed according to government instructions.The original incomplete legal person property system was on the brink of collapse.The other is the enter:prise was occupied by the Japanese army,on this basis,the Japanese occupation authorities and the Japanese chaebols formed the”Shanxi Industry Co.,Ltd.",which introduced the Japanese enterprise property rights system.The original company's property rights system was mutated.After the victory of the Anti-Japanese War,Yan Xishan complied with the changes:in the national government's economic policies and laws,and reorganized the property rights.Northwest Industrial Company completed the registration in the name of"Nortihwest Industrial Construction Co.,Ltd.",possessed the status of legal person,and implemented two sets of legal person property rights system with external integrity and internal incompleteness,showing the evolution trend of large state-owned companies.It can be concluded that the evolution of property right system of Northwest Industrial Company belongs to"mandatory institutional change",which is mainly affected by war,changes in national policies and laws and other factors.In this case,as a local ruler,Yan Xishan',s personal preferences,ideology,rational self-interest and so on determine that the company's property rights system has strong local character:istics.However,Northwest Industrial Corporation is the beginning of modern provincial enterprises in China.Its original property rights system represents the early rise of modern provincial enterprises in China.Afterwards,the evolution of the property right system of Northwest Industrial Company is different from that of other provincial enterprises in the mainland.But it was consistent with the evolution trend of state-owned large companies,and constantly promoted the improvement of the company system,which was unique in the history of the growth of local state-owned enterprises in modern China.
