This thesis researches on the management of American-investment enterprises in China, then points out that cultural difference is one of the most essential reason for the problem in management. This thesis comprises seven parts.The fist part offers the reason of researching on this discussion.The second part shows the cultural conflict through visiting S.C. Jobnson&Son,lnc.,and getting many uiformation.The third part simply introduces the management model.The fourth part set up the cultural difference model of American- investment enterprises in China,discusses the difference and the reason of difference between American culture and Chinese culture.The fifth part analyzes advantages and disadvantages between the 慹motion?management and 憀aw?management by using Transaction Cost Economics and Beyond theory.The sixth part sums up the successful cultural factors of American-investment enterprises in China.The last part is suggestion and advance.
