the cooperative game between the owners of idiosyncratic human resources and material resources causes the change of the institution .the new institution transforms material resources and idiosyncratic human resources to material capital and idiosyncratic human capital. And an entrepreneur is the owner of idiosyncratic human capital in the definite institution. This thesis demonstrates the new theory model is correct by three history development stages. And it points that the main condition of the sustained and healthy growth of the economic is the best mate between idiosyncratic human resources and material resources. There are dual capitals (political capital and idiosyncratic human capital) in china. But we implement finance policy with obvious ownership discrimination. There is seriously contrary allocation in china. This thesis raises the corresponding suggestions.
