Entrepreneur is the backbone of an enterprise and determines its fate. For prosperity, China is in need for a batch of outstanding entrepreneurs. State-owned enterprise (SOE) plays an important role in China. The Chinese entrepreneur came into being with the reforms and open-up of our country. As themselves space for development. But in this transitional phase, the institutional arrange tend to lay behind the actual situation. Due to the imperfect and, sometimes, misplaced supporting entrepreneur system, the entrepreneur who propertied at the early stage of Reform & Opening-up phase now "come down in the world" . Thereby, to constitute an effective entrepreneur system has become an immediate fatal factor in the economical development and reform of our country.Under such a circumstance of social practice and theory this paper gives a comprehensive, systematic and profound study on the formation of Chinese entrepreneur. It expatiates the influence of the system environment on the formation of Chinese entrepreneur manpower capital by game. Based on that study on the entrepreneur phases of manpower capital formative, it bring forward the present solution to shortage of entrepreneur: to put up in policy the government managing system reform; to pointing out in operation the way of SOE reform in modern enterprise system; in terms of aim of the aim of SOE, to make scientific classification, establish corresponding motivational and restrictive mechanism, and form entrepreneur system to meet the market economy.This paper lays stress on combination of theory and practice, trying to supply with the theoretical basis on systematic innovate so as to constitute a group of entrepreneur with high qualities and make it valuable for reference in its practical application.
