The Study On Corporate Governance

The character of modern enterprise originated in the early 20 century is the dispart of ownership and control. With this dispart,the issue of corporate governance came into being. The research of corporate governance in China began in 1990's. With the innovating of state-owned enterprises,many problems emerged. So many scholars studied the subject of corporate governance with great enthusiasm,and have many achievements. The object of this dissertation is to summarize the theories of corporate governance,to analyze the reality of corporate governance in China,and to shape the theory of mine. The research of this subject is helpful to state-owned enterprise,to the development of negotiable securities and capital market,and to the entrance of WTO.In the first part this dissertation,I mentioned the origin and the development of the issue of corporate governance,and its meaning,subject,function and etc. In the second part,I researched the relationship of capital structure and corporate governance,of deputy theory and corporate governance. In the third part,I compared the corporate governance of America and Japan. In the forth part,I analyzed the reality of corporate governance and its problems of China with some cases,and suggested the direct of its innovation. In the last part of my dissertation,I forecasted the corporate governance of intellective ecnomics.
