| This paper, composed of two parts, each focusing on case description and analysis respectively, is a case study on strategic alliance.The first part centers on Guangzhou Tian Xiu Garden, jointly developed by Zhong Jian and Nanyue, two real estate companies with SOE background, together with a HK-based Geshi Co. Ltd. Three enterprises with win-win ally has obvious complementary superiority and their cooperation has acquired outstanding achievement for a time. But at a later time owning to some reasons, the alliance is a flash in the pan.The second part, analysis of the case comprises mainly four parts. Firstly, it gives a brief introduction to the strategic alliance at home and abroad. Secondly, a detailed analysis is done on the previous alliance. Next, a proposal is made to the three companied mentioned above, pointing out the necessity of forming such an alliance again. And it explores how to form this new alliance, which might be a win-win for all these companies involved. The paper based on the theory of strategic alliance and strategic management, organization behavior and applied the analysis method of superior and inferior, inner and outer circumstance.The case analysis proved, under the circumstances of enterprise with SOE background losing superiority in real estate industry, creating alliance among these enterprise, excellent foreign capital enterprise and individually-run enterprise, is one of strategic mode we can select. In the process of alliance creating, we can choose enterprise with complementary superiority .In the process of alliance implementing; we should pay more attention to the democratic decision-making mechanism. In the process of managing, we should desalt parent company's profit. The result indicates that, in real estate industry, for enterprise with SOE background, creating strategic alliance is absolutely feasible, and at the same time it's a preferable choice.
