With the economic globalization and development of modern science and technology, increasing corporations become to realize that it is hardly possible to survive the more intensive marketing competition alone. Ever since 1980's, under the circumstance of the severe marketing competition, western corporations especially multinational corporations (MNC) start to strategically adjust the competitive relationships between corporations and replace opposite competition with cooperative competition in global market. Strategic alliance, as an innovation of organizational relationship, has been playing a vital role in modern corporations to strengthen competitive advantages. Strategic alliance is regarded as "the foremost organization innovation since 1920's".At present, limited to the low level of national economic development, many of domestic thin corporations compare unfavourably with MNC. Meanwhile the disparity in size, technology and product between MNC and domestic corporations is also increasing. After China enters WTO, the government promises to open the domestic market further, domestic corporations will be confronted with severer test of market competition. On the other hand, with the economic globalization and flourish of Strategic alliance, the passive actions of national corporations will affect China's participant international division of labor. Hence, with a strategic view to subsequent severe situations, domestic corporations should take full use of companionate capital & technology and acquire reciprocal advantages and share in resource in order to improve their strength and international competitiveness.First the thesis analyses the foundation of Strategic alliance by using some theories of value chain , transaction costs, organizational study, etc. Based on the previous research, view of Strategic alliance and different classifications is brought forth .Actually the establishment of Strategic alliance is complex systematic work, an alliance's stability depends on selecting proper companions, building relevant framework, keeping mutual trust and creating cooperative environment. In the process of setting up an effective alliance, the method of AHP is applied to select suitable alliance companion and the dispensation of investment & income is analysed concretely. The corresponding mechanism of mutual trust, restriction, member-seceding and cultural harmony are required in the run of Strategic alliance. Finally the thesis points out the necessities and feasibilities recording to the status quo of domestic corporations' alliance and detailed analysis of alliance between domestic and foreign corporations. Sequently some countermeasures on how to develop domestic corporations' alliance are also put forward.
