Human resources are of the first importance in the developing of the modern economy. Actually, the competition of a company is the competition of the human resources. A company can achieve its strategic goal only it exploits human resources effectively, administers human resources rationally and scientifically, mobilizes the staff's activity and creativity and makes the best possible use of the staff.This paper chooses the typical Sino-Japan Software Joint Venture in Xi'an -NT company-and is on the basis of investigation and researching on the theories. From the practice, it researches the problems and solutions during the exploiting human resources. At the beginning, this paper analyses the problems of a company's exploiting human resources. According to the current situation of the company's developing, it analyses the strategy of exploiting human resources as well as analyses the advanced patterns and distinguishing features of U.S. and Japan's companies. This paper studies and produces a system of exploiting NT' human resources, emphasizes on the study and designing of the Career Development Program and the system of education and training. It also analyses some new thinking about the encouragement mechanism, and as well, produces organizing business culture is the most important strategy in the theory of exploiting human resources according to the characteristics of Sino-Japan Software Joint Venture. Finally, it inquires into a company's team building across the culture.
