Research On Integration And Value Evaluation Of M&A Target Enterprise

Enterprise M&A is the core content of capital operation, the important means to extend enterprises and realize scale-economy, as well as the important way to implement business strategy and promote reasonable flowing of resources between enterprises. Under the effect of Merger and Acquisition tide in the world, M&A as the main pattern for enterprises' growing outside, has gained more and more attention in our country.This paper used related theory about enterprise M&A, analyzing systematically the enterprise M&A in western countries, and did research on the characters of enterprise M&A in our country, to make deep analysis on existing problems in enterprise M&A in our country. On the basis of borrowing widely successful M&A experience of western enterprises, we established the enterprise M&A work process in our country. After we had done deep and systematic research on the choice of targeted enterprises in enterprise M&A, value estimation and integration after enterprise M&A, we built an evaluation index system on the choice of targeted enterprises during enterprise M&A, and applied AHP method in quantify evaluation on the choice of targeted enterprises, so as to make the strategy decision of the choice of targeted enterprises during enterprise M&A more scientific and reasonable.This paper does an in-depth and systematic research by way of theory and practice and from the perspective of increasing the core competence of enterprise. A referable management model is established for coordinating the management and effective operation. Finally, this article put forward specific advises for developing the M&A andincreasing the core competence of the local enterprises from Macro and Micro perspectives. This article is very important for the sustainable development of the local enterprise after effecting M&A.
