The Aim And The Applicational Research To Complete The Modern Enterprise System, Corporate Governance

The conclusion of third session of the sixteenth Congress emphasized that China will establish and perfect the management of state owned assets and monitoring mechanism, stick to the separation between government public management function and the function of investor of the State-owned asset, and the related supervision and administration authorities should act as the state-owned assets investor. This congress also puts forward we shall accelerate the system and joint stock system reform of state-owned enterprises, realize corporate governance, and perfect the parent & subsidiary corporate system in order to define clearly the responsibility of supervising the maintenance and appreciation of state assets value.The research theme of the article is carried out under the background that state-owned enterprises of china are striding to standardization and systematization. That forming scientific, mutual checking enterprises's corporate governance is the critical task for standardizing the state-owned enterprises' reform under new situation. Rather than emphasizing to research how to setup scientific enterprise's corporate governance, this article, combining the problem arisen in active enterprise's corporate governance, and referring the foreign useful experience, researches how to improve the operating efficiency of corporate power organ and the overall efficiency of corporate governance. So it has high applicability. The article first introduces the basic principle of corporate governance, the characteristic and composition of modern corporate governance, then analyzes and compares the characteristic and forming background about corporate model of US, Japan and UK, as well as mainly researches the status and existing problems of the state-owned enterprises's corporate governance in China, puts forward resolving method and consummate proposal. At last the article analyses the representative of the state-owned enterprises-China National Non-metallic Minerals Industry Corporation(Group) that has achieved real experiences and lessons during setting up modern enterprise system.
