The paper is based on the analyze method of new institutional economic. Firstly, According to the analyze method of economic history which was put forward by Douglass C. North in the book "Structure and Change in Economic History", the paper reviews the development of Chinese Non-governmental banks, references the cases of Taiwan and Japan, and points out: [1] Property rights is important in the management and operation of Chinese non-governmental banks; [2] According to the differentiation in deferent parts of China, it is important to establish local non-governmental banks that can focus on the local economy and provide services to local small and medium size non-governmental enterprises; [3] Ideology is very important in the institutional changes course of Chinese non-governmental banks.Secondly, according to the general theory of institutional exchange, the paper researches on the significance of institutional change to the reform of Chinese banking system. It concludes that it is an inevitable choice to develop non-governmental banks and construct a multi-layer banking system in the institutional change of China's banking system.Finally, the paper analyses the path selection and framework design in the institutional exchange course of Chinese non-governmental banks.
