Enterprises merger is an inevitable theme in the development of the enterprises. In the western developed countries, the western business circle regarding U.S.A as representatives passes through five large-scale waves of enterprises merger, especially in the 90's of last country, the fifth wave of the international enterprises merger that formed under the era background of economic globalization and the new economy caused by the fourth technological revolution, whose scale and frequency are both unprecedented, which can be said to be tempestuous. To take a sweeping view of the waves of the international enterprises merger, its scale is larger time by time, and each wave of the merger thoroughly changes the histological scale and structure of the enterprise, and causes large-scale industrial adjustment. Also the economic policy and the economic structure of each country have great changes. Since the reform and the opening to the outside world of our country, following the steps of the reform of our country, the foreign enterprises gradually enter the Chinese market, and are forming the upsurge of merger in the market of our country. Until 1998, in the 500 top enterprises of the world, there have already been more than 300 enterprises that enter the Chinese market, and the development of the state-owned enterprises and national industry faces a great challenge. Faced the current imminent danger, the national industry of our country carry out all-round asset recombination, perform the combination among the strong ones, rapidly develop effective merger, and form powerful big business and big group, so it can gradually counter with the foreign enterprises in the coming period, and impetrate the existence and development in the growing keen international competition.This article mainly discusses three parts such as the basic theory of the international enterprises merger, the development of the international enterprises merger and the development of the enterprises merger of our country.The first part, the theory of the enterprises merger(I) The conception and category of merger. Traditional merger is mainly a merger between the enterprises whose enterprises ownership are owned by the private alone, which is the main form of the enterprises merger before the middle of the nineteen-century. Modern merger. It no longer can be simply induced to general transfer the enterprise property ownership. Also it has double connotation including the transfer of the enterprise ownership (juristic ownership) or (and) the transfer of the property right. The category of merge, we discuss the lateral merge, longitudinal merge and compounded merge according to the basic partitioning method, and analyze each basic form.(II) The theory of the enterprises merger. This article first introduces some ideas to Max's theory of merger, and point out the predictability and science of Max's relative analysis. Then discusses modern western theory about merger, it mainly includes: neoclassic comprehensive group's merger theory, efficiency theory, agency theory, business cost theory, asset specificity theory, incomplete compact theory and core ability theory.(III) The effect of the enterprises merger. The effect of the enterprises merger mainly has two aspects. One is the microcosmic effect of the development of the enterprise itself, including rising the deficiency of investment, developing economy of large scale, promoting managerial skills, decreasing business cost and achieving multiple-management. The other one is the effect that macroscopic merger to the development of the national economy.
