A Study Of The Corporate Governance In Chinese Commercial Banking

Before the middle of the 1990s, the commercial bank was mostly regarded as an important supervisory mechanism. In 1997, an acute financial crisis occurred in SE Asia, evoking an attention should be pay to corporate governance for banking organizations. In Sept. 1990, the Barsel Committee on Banking Supervision issued an instrument of Enhancing Corporate Governance for Banking Organizations. Soon afterward, the People Bank of China issued Gufen Zhi Shangye Yinhang Gongsi Zhi Li Zhiyin (A Guide to Guiding Corporate Governance on Joint-Stock Commercial Bank). Thus the problem of the governance structure of commercial banks became a focus of concern. The commercial banks bear features of their own apart from the other companies, which determine the corporate governance of its own. To study the basic issues of corporate governance to build up a general model for corporate governance of commercial banking organizations, to draw up a programme of countermove for the commercial banks to deal with whatever situation may be met with will serves as the basic thinking for China to undertake reform in governancing for commercial banking organization.My paper is based on introduction of the general theory of corporate governance, build the theory structure of the corporate governance of commercial banks, and through the introduction of the popular model of the corporate governance of commercial banks, combined the basical situation of our country, find out the questions existed in the corporate governance of commercial banks in our country. And I hope I can build the theoretical structure of the corporate governance of commercial banks. And find out some useful suggestions for our innovation of the corporate governance of commercial banks.In the first charter, I introduce the general theory of corporate governance through it's definition, aim and model. In the base of that, I analyze the special character of commercial bank, and introduce the special character of it's contact. And I put out the standpoint that in the case of commercial banks, we must obey to the governance of contract. The second charter, I introduce the different model of allkinds of countries, and compare with each other, and put out the denotation to our country's innovation. The third charter, I tell the history of commercial banks's innovation in our country in the past years. And put out the defect existing in the process of the innovation. The fourth charter, we take a proposal to the innovation of the corporate governance of commercial banks in our country.
