As logistics is the "third Profits Sources", and the sharp tool to enhance service level in the developed countries. Therefore, after the introduction of logistic theories to China, Chinese government and enterprises paid unprecedented attention to logistics. With the extension of socialized production and deepening of division of labor based on specialization, the professional Third Party Logistics came into being. The Achievements and the market level of logistics has become the important symbol of the development level of logistic industry of countries and districts. The "Third Party Logistics" is a newly developed industry, and in China, it has a short history and is in the preliminary stage of development. But all circles of the society, no matter academic circle or enterprise circle, give fervent attention to third party logistics, and the "third party logistics fervor" has come into being. After entering the 90s, great changes have taken place in the internal and external economic environment and policy environment, and the basic technique conditions is more and more mature, under the background of which, there is great demand for third party logistics.After the reformation by ministry of railway of railway management system, and the adopting of "separation of major and auxiliary industries, and reformation of auxiliary industries", how to develop railway material system, whether a modern enterprise system can be effectively set up, and whether market competition mechanism can be introduced will be the important issues which will concern the survival and development of railway material system. The success and failure of the reformation of railway transport industry, which is the main force of China's logistic industry, will produce profound influence on the development of China's logistic industry.According to the "separation of major and auxiliary industries; reformation of auxiliary industry" policy that is to be carried out, and the fact that the railway material system will be separated from railway transport industry, in the light of modern theories of logistics and supply link management idea, on the basis of analysis of current situation and trend of logistic development home and abroad, the paper thoroughly analyzes the competition environment and supply and demand condition of China's logistic enterprises, and analyzes the advantages and disadvantages for railway material enterprises to enter third party logistics enterprises, and puts forward the idea to transform railway material enterprises into railway logistics group and to transform to third party logistics enterprise, and brings forward specific measures to be taken for the implementation of the idea, and especially advances new ideas for the strategic recombination and concordancy of resources from the following four layers: ministry of railways, railway bureau, railway branch bureau. According to longitudinal integration and horizontal integration strategies, the paper puts forward the implementation mode, that is to strengthen internal longitudinal integration and external competition-cooperation mechanism, and to set up strategic alliance, and analyzes the key issues concerning the implementation mode, which provides feasible measures and suggestions for the transformation of railway material enterprises to third party logistics enterprises. As the reformation of railway enterprises is an issue of great concern to people, it is hoped that the successful transformation of railway enterprises would give helpful experiences to the reformation of other departments.
