From the late 1990's, the situations of the area and the world have changed so much that the economic pace of East Asia accelerated rapidly. In recent years the economic association between ASEAN and China is strengthened and the economic relations develop rapidly, due to the near geological location and friendly political relationship, China an ASEAN began to establish free trade area in 2002 November, in order to prompt both economic development and hope to realize the objective of through establishment of free trade area. The realization of the "two-win" objective is dependent on two factors. First, whether the economic relationship between China and ASEAN is competitive or complementary, that is whether China and ASEAN are competitive or complementary in foreign trade and international direct investment. Second, whether China and ASEAN can collaborate and adjust the policy to realize the "two-win" objective.This article analyze the problem in the process of the development of China-ASEAN free trade area in terms of the inner trade, the export to outside, the inner investment and attracting foreign direct investment and provide corresponding policy and advices. The problem is reflected in three aspects: first, there is dependence on the developed countries in terms of the technique and market demand. Second, the industrial structure is similar, the level of technique is low, and the pressure of upgrading the industrial structure and technique is great. Third, it is difficult to coordinate the benefits of the members in China-ASEAN free trade area. So China and ASEAN coordinate the policy of the industrial structure and the development of technique, and promote the area cooperation between district and outside districts in various models to promote the benefits and the economic development of the district.
