Since it is founded by T. W. Schutz, Garys Becker and others in 1960s, the theory of human capital has greatly influenced the economic and the management field. In this century, especially with the coming of the knowledge economy era, the research on the human capital made by academic circle and enterprise circle has been strengthened more and more, people have a clearer idea of the important role human capital plays in practice. Human capital has become one of the most important factors in enterprise strategic plan and the key factor in the development of enterprises.As the most important factor in enterprise development, the key point lies in how to give full play to the maximal potential of human capital. Human capital is different from other types of capital in that it is indispensible from its owner and it is a kind of capability relying on laborers, so it has some characteristics that are obviously different from other factors of production. Basing on this characteristics, this thesis proposes that appropriate encouragement mechanism is the most important means to encourage the property subjects to develop their potential to the full. Thus, this paper makes a systemic study on effective encouragement mechanism.According to the result of present research on human capital as well as the present writer's working experience and observation, the thesis summarizes the distinction between human capital and human resources, and puts forward that the relationship between resources and capital is actually the one between whole and part and that human capital is the part that is derived from human resource, goes into the economic activity and brings about the economic benefits. In accordance with this basic theoretical viewpoint, the paper conducts the following discussions: the first chapter discusses the theoretical distinction between human resource and human capital; the second chapter talks about the development and characteristics of theencouragement mechanisms, and compares the results when the encouragement mechanisms and the discipline mechanisms are applied respectively to the subject which owns the human capital; in the third part, the present writer combines the research results of the first two chapters, analyzing the encouragement mechanisms of human capital, then she proposes the effective methods and principles of the encouragement mechanisms and compares the methods; chapter four is the most important part in which the present writer analyzes the reasons of the issues of encouragement mechanisms on human capital which occurred during the process of the reforms of state-owned enterprises, then according to the present situation, she proposes the effective encouragement mechanisms from two angles.At present, there are no widely acceptable results in the research on human capital in the west. What's more, theories that apply to the western society do not fit Chinese enterprises completely and it cannot solve the practical problems in Chinese enterprises by copying them. Through the research on the western theories and the true situation of Chinese enterprises, this paper finds a kind of encouragement mechanism that is suitable for Chinese enterprises. Though it is not perfect, it will certainly contributes to solving the problems of human capital encouragement in the reforming process of Chinese enterprises.
