From PT Web To See The Corporate Legal Person Governance Structure

By analyzing the restructuring and financial fraudulence case of Shanghai Commercial Real Estate Development Industry Co., Ltd. (PT Web, code: 600833), this thesis aims at pointing out the problems existing in the restructuring of China's listed companies, especially the unsatisfying role that the government is playing during such a special transition period. When we mention legal person government structure, we needn't say something about the government. But we have to mention the government. However, It is the problem of PT web. So it is Chinese listed companies.With the approach of specific dada and chart analysis, this thesis provides the readers with a true and clear picture of PT Web's restructuring and financial fraudulence. It points out those problems existing in the unreasonable legal person and management structure of many companies. A very obvious fact is that in many listed companies the government is absent from the management board in name, yet the influence of the government is very strong and can be felt everywhere. The shareholding structure of many Chinese listed companies is very unreasonable: ?the major shareholder, usually the government, is too strong and totally out of control; the function of board of directors is nowhere and the board is somewhat like a show; financial fraudulence is everywhere and out of control. To solve the above-mentioned problems, this thesis puts forward some suggestions to improve the legal person management structure of these listed companies. Such suggestions include the appropriate role that the government should play, the diversification of shareholding, the injection of non-governmental capital, the independent, just and supervising role of companies' various managerial and supervising departments play, ordinary employees' participation in company's operation and the management of it, the improvement of the market situation and the supervising mechanism of many social agencies, the establishment of civil compensation system and the protection of the shareholders' rights.To Summary this thesis, the key is to depart the government and the company, especially reform of personnel system about cadres. It is necessary for legal person governance structure. And the injection of non-governmental capital, it is good for giving up the administration coming from the government.
