Because of the sufficient development of market economy and enhanced sizes of companies, company administration has become specialized affairs. It has become a routine in every country for specialized staff to execute company business. However, officer problem arises when non-shareholder officers execute company business. To solve this problem, it is a necessary and optimal option to strengthen and perfect company regulation construction. Survival ability of Chinese companies in the world setup of competition lies in the strengthening of company regulation construction. However, existent problems in officer regulation laws of our country cause imbalance of internal power allocation of the company, which leads to internal person control, the weakest link of company regulation. This article starts from the social institution background, in which officers exist, interprets power distribution and allocation of the board of directions, expects to strengthen officer system of our country and eventually establishes a legal system in which officers can display their talents and know their places. To be specific, this article is divided into three sections:Section One Current Legal Position of Company OfficersFirstly this section decomposes the legal concept of officers, compares business execution organizations of other countries which act similar functions with officers of our country, and establish scope and legal position of officers. Secondly it analyzes developing history of the officer system and points out the developing trend of officer professionalization. Finally it considers that solve of the officer problem requires power distribution of the board of directors and clarification of responsibilities of officers. Section Two Power Distribution of Board of Directors and Power Allocation of Officers This section mainly analyzes the feasibility and model of power distribution of board of directors and points out that it is one of the feasible models to allocate business execution power of the company to officers. However, if the business execution is totally assigned to directors, the management is likely to be in imbalance. Meanwhile, it analyzes officer legislation model and power source and points out legal regulations and system regulations should vary with company legislation values of each country. Section Three Strengthening of Company Officer System of Our Country Based on the analysis of the previous sections, this paper puts forwards suggestions of strengthening officer system of our country. Firstly, according to company legislation orientation and practice of our country, it is the option of our country for officers to execute routine business. Secondly, it presents balance setup for company officer system.
