In recent years, the loss of state-owned assets are more and more serious, which threatens foundation of socialist economy and harms to interests of people of China. One of the important reasons leading to the loss of state-owned assets is there is shortage of supervision system of high-rank managers. It is high time for us to strengthen the supervision system of high-rank managers. In the process of state-enterprise reformation, most of them are transformed into whole state-owned companies, which exist extensively in national economy. So it is valuable to study how to supervise high-rank managers of whole state-owned companies.In the article, high-rank managers who have powerful influence on making decision on the company's management shall be defined widely because those managers refer to the specific managerial stratum , which is contrary to that of assets owners.Firstly, the author defines what a whole state-owned company is , points out the distinguishing features, which make it differ from an ordinary liability company, briefly introduces the development of the leader system of state-enterprise and analyses the reasons leading to shortage of supervision of high-rank managers of a whole state-owned company from economy view. In addition, the author describes the existing supervision system of high-rank managers of a whole state-owned company from internal and external respects. From internal respect, the state, as an investor, plays its role by appointing and removing high-rank managers, strengthening the management on those important things, such as checking andchastisement, the supervisory board and financial control and audit. As far as the party committee concerned , there are ways to supervise high-rank managers: it has the right to appoint and remove high-rank managers and the party committee make sure some high-rank managers become party members and the party committee of the higher level plays instructive role on manager a whole state-owned company. As far as staff and workers concerned, they supervise high-rank managers through staff and workers' congress and trade union and joining organizations of a whole state-owned company. As far as creditors, which are composed of banks mainly , laws and regulations keep them out of company government, so the supervision role is not obvious; from external respect, the market systems which consist of capital market ,product market, manager market mainly supervise high-rank managers by providing the system of eliminating through selection and competition because they can reflect liabilities and diligence of high-rank managers. In China, there are incomplete capital market, produce market and manager market, which cause the limited effect on supervision .Furthermore, the author introduces the experiences on supervise state-enterprise of other countries such as American, Britain, France, German and Japan , proposes some suggestions on how to improve the supervision system of high-rank managers of a whole state-owned company and draws a conclusion through a table.
