Technology innovation and institution innovation are the key factors for the enterprise growth. In the present, the enterprises in China generally face the problem of poor technology innovation capacity. So it is important for the Chinese enterprises reform to make great effort to research the institution arrangement that influence the enterprise technology innovation.Based on the past economics articles about the technology innovation and institution arrangement, the article research the institution arrangement in three aspects. In the first part, the article states that clear propriety arrangement is the stimulus for the enterprise technology innovation. Propriety not only includes the asset propriety but also includes the invisible propriety. With the complexity of the technology innovation, propriety also should include the human resource propriety. In the second part, the article expresses the management stimulus of technology innovation. Because the technology innovation is emerging team character now, there exist much opportunistic behavior during the process of the technology innovation if propriety can not defined clearly. We need overcome the opportunistic behavior for the successful technology innovation. During our analyst we find that pursuing maximum profits enterprise is of contradict with the enterprise efficiency regardless of the technology innovation team stimulus and the needed information uncovering mechanism. So we need to enhance the enterprise culture establishment to make the employee to overcome the selfish. In the third part, we express the influence on technology innovation from the organization structure aspect and theproper principle for the organization structure. The management stimuli about technology innovation fulfill a function through proper organization structure. So organization structure has great influence on technology innovation.
