Project Finance means the finance model with limited recourse or non- recourse, and has a history of several ten years or more in developed marketing economies, but was brought into China in recent years. Compared with traditional finance ways, it is a newly born one. With the further development of marketing economic reform and speeding up of economic globalization, Project Finance creates a new finance channel that benefits to control finance risks and improve investment feedback as a way meeting the international principles. Project Finance is being conducted more widely and playing a more important role. As one of the main models of Project Finance, BOT is playing more and more important role in the infrastructure development in China.Some weaknesses still exist because BOT Project Finance started not so long in China. The rise of investment risks, high cost, less benefits are the main disadvantages. Meanwhile the spreading of BOT Project Finance still faces so many technical problems, which mainly come from the complexity of reputation ability, knowledge, technology and experience required by BOT Project Finance.So, it is an emergent task to strengthen research, summarization and innovation about BOT Project Finance not only in theories but also in practice, to conduct a systematic study about possible risks existing during BOT Project Finance operation and relative solutions. Above all is the true study value and meaning in this thesis.This article introduces the concept, specialties, main models of Project Finance through the combination of theories and practice while taking management and control as the two important objectives. Then it expatiates the basic concept and characters of BOT through comparing data in some international BOT practical cases. Later, It analyzes the current situation, obstacles and solutions of BOT, studies the experiences, lessons and the root causes of totally different results through the introduction of a successful case and a losing one. And then it lists different risks possibly occurring in BOT and management ways. At last, the writer gives some advice and foresees the future of BOT development in China.
