Study On Guarantee Legal System Of Chinese Resource-based Enterprises Transnational M&A

China's "going out" strategy has experienced decade development since officially proposed in 1998. Under the background of economic globalization and development strategy of "going out", Chinese enterprises made transnational M&A as the fast channel to be international, this directly lifted the wave of Chinese enterprises transnational M&A. Chinese resource-based enterprises was trying to implement "going out" strategy constantly in decades, since SGNEC bought shares from shaky Peru iron ore company in December 1992, and CNOOC failed to mergers UNOCAL, these case showed China resource-based enterprises was not very smoothly in M&A, many failure case gave us a lot of lessons. Therefore, combining the present problems of resource-based enterprises in transnational M&A, considering energy security, it is important to study China's resource-based enterprise transnational M&A guarantee legal system. This paper introduces the concept of resource-based enterprises and transnational M&A, and explains the legal characteristics of transnational M&A, and analyses the significance of the research. Later this paper analyses the theoretical basis of resource-based enterprises transnational M&A guarantee legal system, through introduces the economic theory and the legal theory, this paper explains the necessity and rationality of the existence of this system. Moreover, this paper introduces foreign state related content of resource-based enterprises transnational M&A guarantee legal system from legislation, taxation, insurance and financial policies. In the end, based on our current conditions and related law of resource-based enterprises transnational M&A, this paper proposes some suggestions to improve resource-based enterprise transnational M&A guarantee legal system.
