With market economy systems being established , the modern corporation system has been the aim of state-owned enterprise reformation .To built a good corporate governance mechanism has become one of the main challenges the enterprise reformation facing .As a result ,more and more people are coming to research the issue of corporate governance .This thesis focus on the governance problems of state-owned enterprises and what measures should be taken to solve these problems. This thesis includes four chapters .As a theoretical basis , chapter one expounds the feature , origin and development of modern corporation /describes the main theories of corporate governance, and states the essence of corporate governance. Chapter two descries in recent years the practices of American corporation in corporate governance. In this chapter the concerning statistics data of the standard & poor's 1500 corporation is of a great value for our corporation governance practices. Chapter three compares the various kinds of corporation governance models ,and state that the key factor making the various models is the differences in enquity structures. Chapter four is a very important part. Based the former three chapters, this chapter makes a deep analysis on the experiences of the 20 years' enterprise reformation and the governance problems of Chinese state-owned enterprises. Then, supplys the resolvation to these problems.
