A Research On Corporate Governance Evaluation System

The listed company governance quality is the focus which the mass of investor pay attention to,it is also the hot research in academic and practical field. Enhancing the listed company governance level,the total state must be grasped.So ,it is necessary and urgent to establish a set of listed company governance evaluation system which fit our country's conditions.On the basis of absorbing and digesting the domestic and international research achievement about the listed company governance evaluation system,this thesis establish the total framement of the listed company governance evaluation system from evaluation principle evaluation content evaluation standard evaluation index, evaluation method.On the basis of framement ,this thesis establish a set of evaluation indexes system suitable for our country's conditions from stock structure rights of stockholders and stockholders' assembly board of directors board of supervisors management team information diclosure, governance environment governance effect.The evaluation indexes system is composed of eight first-degree indexes, adding up to one hundred thirt-three evaluation indexes.There are not only quantitative indexes, but also qualitative indexes in the evaluation indexes system;There are not only basic indexes, but also affiliate indexes in the evaluation indexes system. We concisely explain every index and define the scope of every index briefly.After analyzed and compared the synthetical evaluation method,this thesis select the synthetical index method as the listed company governance evaluation method.Because it is suitable for the quantitative index.We improve on the evaluation method because of its defect.
