According to exploring both in reality and theory about 20 years, shareholding reform, finally, is set up as the main model of reform to state-owned enterprises (SOE) in the modern enterprise system reform. However, how to realize the reform goal and make the economy developing with a fast and health speed during the course of reform is still an emergent problem to solve. This paper will study it as the follow. Summary of the modern enterprise system is the main content in the second section of this paper. It describes that the enterprise is a kind of market contract which various ownerships seek large profits and pay little costs with competing and covenanting. Property rights are the key basics of the modern enterprise system reform, during the course of this reform, how to harmonize the paying rights and holding rights (enterprise managing system) become an important problem to solve. How to reduce the costs, harmonize the paying rights and holding rights, enlarge the border of enterprise is an effective way to solve the investors and managers during the shareholding reform. From the point of setting up the sociaTab marketing system, shareholding reform must be on under the guideline of this theory concerning to situation in China. During the third section of this paper, it is a key study of the SOE reform both in China and Russia, and the reform of SOE in China are classified three terms, that is unloosening rights and profits, setting up "four freedom"enterprises, setting up modern enterprise system. This section also is to summarize the general outline of each term. The theory, course, benefits and lessons of the reforms to SOE in Russia are expatiated. According to the contrast, it is confirmed that the reform to SOE in China should be deepened with a steady and effective way; the reform to property rights is not all of this reform flow. Shareholding reform must be continued with the property rights as the core. During the fourth and fifth section of this paper, with the example of reform to NGS Co. (a state-owned enterprise), it introduces the whole process of the SOE's reform. With the guideline of reform to the industry, property rights and labor relationships, this section expatiated as detail to the reform to Chongqing Nongken, and the shareholding reform to Chongqing Dairy Co., Chongqing Jiangbei Farm and Chongqing Chuanjiang Plastic Manufactory. In the sixth section, under the guideline of modern enterprise system theory, it is analyzed the shareholding reform to stated assets in NGS Co. it is confirmed that the reform process is also to restructure of SOE's industry structure, assets structure, property rights structure, labor relationship, government assets relationship, government and enterprises relationship. During the course of regroup, various ownerships will negotiate the principle of shareholding reform system, the main achievements of this negotiation and practice is to reform an enterprise system, difference and final goal. It changed the rights and duties to various ownerships and reinforces the elements moving, and makes the marketing system more harmonious to enterprises. While this resetting system is still confined by the impersonal ingredients, so that it is needed a long term to improve and consummate during the practice of reform in China. The seventh section of this paper is to give some suggestion on how to reinforce the SOE reform with the example of NGS Co. reform. It is confirmed that enhancing the state holding enterprises reform and shareholding reform process because it is an effective and strategically measure to SOE reform. Meanwhile, as to the present situation in China, it is necessary to consummate the shareholding system, set up representative system of stated property, improve the organizations administration and supervise to the responsibilities and duties of investors, explore a long-term and effective inspiring and promoting system to those managers who take charge in the non-Tabed enterprises.
