| USA is the country with the most developed online securities trading. The laws and regulations of its legal supervision to online securities trading are huge and detailed, and they have formed an increasingly improving system. This paper tries to make a systematic research to legal supervision system to online securities of USA and provides some suggestions to the legal supervision system to online securities trading of our country basing on the above research. Starting from the current situation of online securities trading of USA, the paper analyzes the legal origin system of supervision to online securities trading from macro angle of view, and then introduces the concrete stipulations of legal supervision system to online securities trading of USA from two aspects of subject supervision and behavior supervision by micro angle of view. Subject supervision includes supervision to online brokers, to online securities trading system and to securities websites. Behavior supervision includes supervision to online securities issuing, online information disclosure and to online securities frauds. At last, on the basis of analyzing the legislation situation and existing problems of online securities trading in our country and using relative stipulations of USA for reference, the paper brings forward four suggestions to improve the legal supervision system to online securities trading of our country as follows: building a good legal supervision system of online securities trading; establishing good supervision mechanism of online securities trading; strengthening protection mechanism for investors and enhancing international cooperation with security supervision institutions of other countries.
