The company selection method studied the specific method of operation rights first distribution.It′s the basic style of a company′s govern structure and rely on one country′s economic growth statement and legal system,etc.In details,there are lots of characteristic selection styles for each needs.The most extensive are straight voting and accumulate voting.Straight voting is the basic style which having diffenent types. Its narrow expression is familliar to us,total continuous,which stands on equal shares.It is easy to causing rights go imbalance,then,more and more small shareholders question it.So another style,accumulate voting appeared.Of course,it′s also not good enough.On one side,it countributes to balance the relationships between big shareholders and small ones,however,it′s hard to realsize because of the deficient operation abilities of the small shareholders.On the other side,it nends coordination from others.All of these take it difficult to make sense.There are also some inadequates of ours,such as the rule of the straight voting is so sole,accumulate voting is not perect enough,and the same selection style of directors and supervisors,etc.In our opinion,the most disadvantage of selection style of directors and supervisors is that the value is not clear to protect which.To choose the small one or the big one? Then,we lose both.In my opinion,for the small one we should fouse on the benefits′s protecting,and for the big one we should fouse on the operate rights distribution.And to the selection style,we should persist that the direct one is the basic to perfect the system.
