Corporate governance is a very important object for which all the counties of the world are looking for the best resolution. Similar tasks lead to different resolutions. Why are they different? Economic systems, political traditions, democratic consciousnesses are all very important essential factors of selecting the structure of corporate governance. And there is another important factor-Culture. Culture is a kind of social consciousness formed during the long history of a nation and influences the individuals with their methods of thinking and behavior continuously and steady. The difference between different cultures will lead to different problems of different countries as well as the best resolution of them. The localization of Chinese Corporate Governance definitely needs the self-examination of the influences on corporate governance by Chinese Culture. In the view of the author, it shall be of far-reaching significance.Official Standard Culture is one of the most central parts of Chinese political culture with more than 2000 years history and influences the methods of thinking and behavior of Chinese people. Many unique problems existing in China a based on the "Official Standard Culture", and it might be not a good solution for Chinese corporate governance problems to introduce into existing system of western countries without considering the background of current Chinese Official Standard Culture. The author decided to analyze some new stipulations in the new Company Law from the perspective of "Official Standard Culture", and try to find the directed resolutions. The paper consists of four parts, about 64,000 words.Chapterâ… introduces the origin of this topic, the current research situation of relevant problems both within and outside of China and the analyze methods used in this paper;Chapterâ…¡based on the introduction of theory of corporate governance, the development trend of modern corporate governance modes and the position CULTURE takes in the process, analyzes the two typical modes of corporate governance : Anglo-Saxon Mode and Continental Mode and the culture background of the representative country's corporate governance. This chapter is to show the relationship between culture background and selection of different corporate governance.Chapterâ…¢based on the introduction of the "Official Standard Culture" of China, analyzes the corporate social responsibility, the duty of diligence of director, supervisor and senior management and Party branch system in company which stipulated in the new Company Law and their real situation and possible challenge. This chapter points out that from the perspective of "Official Standard Culture" we can find the real reasons of the problems of current Chinese Corporate Governance.Chapterâ…£gives directed suggestion to design or strengthen corporate government system from the perspective of "Official Standard Culture". This chapter suggests to clarify the relationship between company self-government and government regulation, perfect the legal circumstance of manager market and build a impartial selection system of managers, strengthen the supervision system inside company and divide the work between the Party Branch and Company Organization.
