The Legalization On Chinese Corporate Environmental Responsibility In Circular Economy Perspective

Basing on the Macro-economic background of sustainable development, under a new condition that circular economy becoming the trend of world economic development, this thesis illustrates the connotation, denotation and specific content of corporate environmental responsibility and raises the channel to rule of law on it. Since Germany, Japan, America and other advanced countries started earlier in developing circular economy and had a relatively mature experience of corporate environmental responsibility; China can learn from them and get the essence of their experience through transplantation and reference of law. However, attention should be paid to the localization of laws, which puts forward higher requirements for the system's design over the rule of law on corporate environmental responsibility. The system's design should be not only reasonable and legitimate, but also practical and operable.This thesis is composed of four parts. The first part is devoted to introducing the origin of corporate environmental responsibility, defining its connotation and denotation as well as illustrating its content in the perspective of circular economy. In the second part, firstly, it analyzes the necessity of rule of law on corporate environmental responsibility. Secondly, it introduces advanced countries', such as Germany, Japan and America, relevant regulations on corporate environmental responsibility in cyclic economic legislation. Lastly, it takes an in-depth thinking on useful enlightenment and reference for China. The third part lists in detail the regulations on corporate environmental responsibility in China's legislation and analyzes its status quo in China. In the last part, it analyzes the system's design of corporate environmental responsibility in the perspective of circular economy and specifies from three aspects, namely economic incentive system, open information system and environmental liability insurance system. It is hoped that the legal system's design and implementation will constraint and insure the corporate environmental responsibility and thus to achieve legal transition of it. And finally it will solve the conflict between corporation's pursuit of its and shareholders'largest economic interest and fulfillment of environmental protection responsibility and achieve win-win between economic growth and environmental protection as well as economic benefits and environmental benefits.
