The management of human capital in universities has been a focus of academic circles. Previous researches towards education science, management science, economics and legal science, were limited to analyze the present situation, but were lacking in science theory or strict logic.This thesis, based on the individuals' description of present human resource, studies the behavior selection of ever economic subjects and the arrangement of property-rights of human capital and social resources, then points to the possible direction of institution changes and the key factors influencing them. The writer, in accordance with the theory of property-rights and the game theory, establishes and analyzes four types of game models: the game of rejecting game, the dilemma game between equivalent individuals, the signaling game between individual and organization, the moral risk game between in-equivalent individuals. The write deduces a conclusion from strictly logical analysis that property-rights of human capital not been divided clearly, any economic subjects' rent-seeking seriously, and powers and functions not corresponding to rights and interests, are the root causes of the inefficient present system and the endless problems. The effective measure to resolve above problems is consummating institutions, that dominant strategy equilibriums are corresponded to expected equilibriums.
