The practice shows at home and abroad that concerning the work to make the internal management of Non-governmental Institutions scientific and rationalized, it is the key point to build an effective and scientific Board of Trustees System(BOTS). At present, the defective BOTS is the main cause lead to the problems of the internal management of Non-governmental Institutions in China. In the course of higher education development and the reform practice at present, the research on BOTS of Non-governmental Institutions is one of the frontiers that press for exploration. Mode study is the precondition of system frame. A consummate mode is the foundation of an organization system which could run effectively. It is indispensable to establish a sane council or board of trustees in respect of not only the internal management of a school and the approval norm of a society, but the action required by the law and regulation. Therefore, in order to cater for the current situation and to handle the practical problems of the board of trustees in the non-governmental institutions, it is a subject of vital importance to probe into the question of how to do the reconstruction work, and it is also necessary to make a further study on the board of trustees in the non-governmental institutions from the angle of mode.There are six parts that comprise the maid body of this paper. In the first part, it mainly analyzes the research status at home and abroad and the related definition of some conceptions; also, it demarcates the connotation of non-governmental institutes from objective and process. In the second part, it expounds the practical agency by agreement between the board of trustees in the non-governmental institutions and the schoolmasters, and the rationality of the multi-members of a board of trustees as well, which is the theoretic frame of this paper. These two parts are the basis and precondition of the entire paper. In the third part, it analyses the management modes and its characteristics of the board of trustees in the US and Japan by means of deductive inference, and expounds the relation between the current modes and their historical tradition and then establish a management mode of board of trustees in China's non-government institutions, from the origin of system and the cultural evolvement, combined with the modes from the US and Japan. In the fourth part, it analyzes the management modes and their problems of board of trustees in China's non-government institutions. In the fifth part, it put forward the reconstructive strategy for the management mode of board of trustees in China's non-government institutions on the basis of the above analysis, in a word, to establish an organization with a management mode that is vertical, decentralized in power and of checks and balances, meanwhile, to create a leader-ship style characterized of leading by the board of trustees, taking charge by schoolmaster and the professor's pursuit of academy and to relocate the power between the board of trustees and the school masters in proper. In the final part, with the conclusion drawn from above, it will embody the questions with the case of management code of board of trustees in W college; also analyze its function status.
