University governance is not only an institutional arrangement for achieving the its goals and a form which provided to the stakeholders of university ,but also setting up the rule ,principal, decision-making style, power-assigning as well as residual claim to carry out incentive compatibility and attain performance. University governance is focused on the trusteeship agency produced in the process of its working. The good governance has much attribute e.g. consolidation of property and administrative power, healthy relationship between principal and agency, balanced rights of stakeholders,etc. Chinese public university governance will embody firstly the leadership of CCP, and secondly a kind of organization which has special governance function as well as executive function.The board of trustees is the nuclear element of the governance as usual in the governance view. And why did the paper propose a seeming ridiculous topic that the board should be the part of the public university governance, two reasons can be presented: firstly, it is excluded from the university power system because of no clear status; secondly, some of the principal parts would like to maintain it in appearance as its ornamental effect.Through revealing of problems among the inner and outside the governance structure of current public university, and analyzing based on the related theories such as property rights theory, principal-agent theory and the theory of stakeholders, the author come to a conclusion that the board possess of qualification access to China's public university governance structure, provided by reality pressing for and theoretical support. As an option to optimize governance structure and a kind of reference as well as an idea to partially solve the hard troubles in the process of the higher education reform, the author considered that the board need revert to its the original function in this context, and enter into the governance. One of the reasons is that the board is a kind of organization which can collect many representative stakeholders; the second, it can establish a relative normal principal-agency-relationship between the university and the government; the third, it is a relative independent juristic person (or corporation). The board is not in conflict with the leadership of CCP to introduce the board into the governance; on the contrary, it can bring lots of virtues to public university like protection against its public property, etc.Basing on the above-mentioned the whys, we can believe that to realize the "governancation of the board" is out of the needs from the university governance itself. No doubt, "governancation of the board" is a tough process to institutional change in fact. And a process which continuously absorb many representative stakeholders to join the governance to overcome weakness produced by the single governance principal and internal control.The theory also indicates that the board does not stop its step of institutional change and will ascend to governance by the way of induced institutional change and institutional flexibility. In the macro-perspective, the current state could be considered as its own change of a link.
