Corporate culture was the innovation of American management theory during1980s. The economists and managers in our country didn’t realize the influence thatcorporate culture brought to the survival and development of enterprises. With thecontinuous development of market economy and the completion of construction ofsocialist rule by law, more and more enterprises began to focus on the construction ofthe corporate culture to make the enterprises continue to grow in the competitivemarket. Market economy is based on the legal system and the construction ofcorporate culture even cannot continue without law. For example, the dailymanagement activities inside the enterprises, the employment relationship betweenenterprises and employees and the transactions between business and customers allneed the norms and guidance of law.The research for constructing began from the beginning of the21stcentury.However, the research for constructing law culture in corporations cannot beconducted in-depth, as the research for the construction of corporate culture is still inits primary stage. This paper starts from the related concepts of law culture incorporations, and then deepens the analysis of its structure, connotation, function andvalue. It also raises the deficiency of law culture in corporations under the currentmarket economic situation and provide the solution.The purpose of this paper is, on the basis of relative concept of corporate legalculture, constitute and the current problems, to provide an effective way to solve alack of corporate legal culture, so that on the premise of a comprehensive study andmaster the use of the law enterprises can realize administration based on law toprevent corporate legal risks, protect the legitimate rights and interests of enterprisesand employees, create a good corporate image and enhance the core competitivenessof enterprises as well.First of all, law culture in corporations is such a certain culture which is formedby integrating law culture into every parts of the construction of corporate culture. It is a very important part in the corporate culture. Law culture in corporations containstwo aspects---that is cultural awareness of corporate law and corporate legal system.Then, this paper analyzes the function of law culture in corporations---that is thefunction of guidance, norms, prediction and protection. It also analyzes the value ofconstructing law culture in corporations. The construction of law culture incorporations helps to improve the internal management level, help companiesproperly resolve internal conflicts and avoid the consequences of the intensification ofconflicts, help to improve their market competitiveness and contribute to theachievement of corporate social responsibilityAt last, based on the elaboration and analysis above, a set of effective legalsolutions to corporate culture construction are put forward: corporate legal cultureneed to establish rules and regulations of corporate law, corporate law awarenesstraining, maintenance of corporate image, legal risks prevention and as well as theestablishment of corporate counsel system.
