With the M&A of enterprise's development, lateral M&A and related M&A have become mainstreams of M&A tidal wave all over the world. Many M&A enterprises have paid more attention to enterprise's long-term development. That means the dissertation which combined M&A with core competence has great academic value and practical significance. Another characteristic of M&A is its low successful rate, this phenomenon on account of noneffective management integration to a great extent. The dissertation is founded on above background. The dissertation explores M&A enterprise's management integration from the point of core competence's cultivation systematically. Also, some research methods were used in the dissertation, such as comparative analysis, qualitative analysis, quantitative analysis etc. Firstly, chapter 1 put forward a new academic analytic framework for the whole paper based on existing theories and practice of M&A. Secondly, chapter 2 educed a conclusion: In M&A enterprise, the key problem of cultivating core competence is integration on strategy, human resource (HR) and enterprise culture. The conclusion is rooted in analyzing from three aspects: the interaction between M&A of enterprise and cultivation of core competence, the particularity of M&A enterprise's core competence's cultivation and the element of M&A enterprise's core competence. In the following three parts the dissertation discussed these three key element's integration: In chapter 3, the idea of project management was applied to strategy integration's periodic analyses. Meanwhile, a new management organization was put forward, that is management integration office; In chapter 4, many effective measures of HR integration was applied, Meantime, periodic working of HR integration was analyzed; In chapter 5, on the basis of comparative analysis on culture difference between both enterprise, five culture integration modes were constructed. Then the mode of choosing culture integration was discussed. At the end of this chapter, process of culture integration was anatomized.
