Under market mechanism, Merger and acquisition (M&A) of enterprises have trades to get the domination of other enterprises through the property right transaction. M&A may promote the capital rapid centralism, save the time which fosters the talent, develop the collaboration of strategy, market and the technology. Therefore M&A already becomes one of the shortcut of rapid expansion in the enterprise. Five large-scale M&A tide in the world had taken placed from the 19th century. The M&A of manufacturing enterprises has always been playing an important role in M&A theory and practice, however, probably half of all M&A has become to failure. The research indicated that M&A integration is an essential link to achievements. The research on M&A integration has the vital significance regarding to enrich M&A theory as well as instruct the Chinese enterprise practice.Based on the analysis of merger & acquisition and the theory of Business Process Reengineering, this paper has dealt with the M&A of manufacturing enterprises, researched on M&A integration of manufacturing enterprises in the view of process systematically with the methods of normalization and certification, meanwhile, the process model of M&A integration for manufacturing enterprises is proposed in the paper in which the process of M&A integration is divided into three stages — the positioning stage, integrating stage and steady stage. The positioning stage determines the goal and direction of integration, the integrating stage is centered by process integration and also paid attention to the integration of stratagem, system, human resources, and so on while in the steady stage the realization of integration goal is promoted by culture integration. At last, the model was verified to be scientific, valid and feasible by the integration cases of diesel engine plant M&A wheel box plant and DiKangYao Ye M&A Yangtze River drugs.The main points in this paper are: (1) the concept and principle of the M &A integration in manufacturing enterprises based on BPR was explicitly expressed;(2) the model of M&A integration based on BPR has established;(3) the process reengineering is the core of M&A integration;(4) with detailed analysis, the functions of systematic and cultural has been highlighted.Research on Merger &Acquisition integration model in manufacturing enterprises based on BPR can provide the new idea for the M&A theory, simultaneously expand the scope ofthe BPR. The results are expected to support for the practice of manufacturing enterprises M&A integration and display the coordination effects and enhance success ratio.
