With more and more intense global economic competition ,as well as the rapid development of China's tyre industry,the strategy of international Joint ventures changed from investment to merger and acquisition . Getting to be familiar and analyse the tendency is one of the most important directions for China's tyre industry's existence and development. From the latest investigation ,50% of the key enterprise were bought by Joint ventures. Under the new situation. How to face the challenge from international competition must be paid more attention to by tyre enterprises to make accordant strategy.Bruce Wassertein (1987) pointed out obviously . "Reorganizing successfully or not ,depends on not only the capacity of value -creativity of the merger and acquisition .To more extent ,but also the entirety of the new Corporation."China's tyre enterprises lake of managing experience in the practice of merger and acquisition . To this point ,the thesis focuses on western reorganizing theory and the present status of tyre enterprises at home. Under the developing strategy of Jia Tong from Singapore, the conditions and procedures of Yinchuan Rubber Factory's merger and acquisition are discussed. Simultaneously,the valuation system after merger and acquisition is emphasized in order to provide other reorganized enterprises with theory guidance.Then let them improve the core competition of enterprises at home ,which finally with take part in the activites of international merger and acquisition .
