Merger and Acquisition (M&A) is an important means for an enterprise to enlarge it's operation scale, increase it's strength and improve it's effective in the whole world. But most enterprises can't get the target value; the one of the most important reasons is the failure of the cultural integration. And before the M&A, many companies are always only focus on the strategy and finance, but ignore the background of the targeted company, not consider the compatibility of the both, not think about the integration and management after the M&A.In the course of the M&A, different companies often lead to different conflict because of culture differences. And the reasons for cultural conflict are also encompassed in the process of cultural integration. Today most researches are focus on the multinationals, and conclude that culture conflict is come from the differences of value, management philosophy and spirit of the corporate. But all these are only the part of reasons leading to culture conflicts, the real reasons are not only the spirit, but also include system, material culture and conduct culture of the company.This paper introduces the conception, character and connotation of the corporate culture first, then analyses the theory of integration management about the company in the M&A . Then this paper explains the reason of culture conflicts from four areas: spirit, system, material culture and conduct culture of the company. So it provides the powerful attestation for the choice of the different type of M&A. In the end part, to the many questions in the process of culture integration in the companies of China, this paper gives some advices, so that it can provide a systemic operation idea and method for culture integration and management in the companies of China, and serve merger activities in China.
